STUDIO: ARC — TERMS & CONDITIONS

1. PROJECT AGREEMENT

1.1. Quotations are valid until the specified date or, if no date is specified, for 30 days from the quotation date. STUDIO: ARC reserves the right to amend these Terms at any time.

1.2. The project start date is the date STUDIO: ARC receives the agreed upfront payment (typically a 50% non-refundable deposit for website builds or other services).

1.3. STUDIO: ARC may revoke or cancel a project prior to the start date for any reason. If this occurs, any deposits paid will be refunded in full.

1.4. Work requested outside the agreed project scope will be subject to additional fees and invoiced under the same payment terms.

1.5. The client must provide all required information, content, images, text, logins, and materials promptly. If the delay exceeds 30 days from the agreed date, STUDIO: ARC reserves the right to pause or cancel the project. Any completed work will be invoiced and payable immediately.

1.6. If STUDIO: ARC completes the agreed work but is awaiting client materials, the project will be deemed complete, and the final payment will become due.

1.7. Once agreed work has been delivered, the project will be considered complete. Any future revisions or changes will be billed separately.

1.8. Time spent on communications beyond the initial consultation (including emails, messages, calls, and meetings) may be chargeable and will be invoiced accordingly.

2. MATERIALS & COMPLIANCE

2.1. STUDIO: ARC reserves the right to refuse to work with any material it considers inappropriate, offensive, harmful, misleading, or illegal.

2.2. STUDIO: ARC will not implement strategies it considers spam, unethical, misleading, or in breach of platform rules.

2.3. STUDIO: ARC will not work with material that infringes or may infringe third-party copyright or intellectual property rights.

2.4. If materials are excluded for the reasons above, the project will still be considered complete, and any outstanding payments will remain due.

3. PERMISSION & COPYRIGHT

3.1. All work created by STUDIO: ARC (including but not limited to websites, designs, logos, digital content, strategy documents, and written material) remains the property of STUDIO: ARC until full payment has been received.

3.2. The client may not alter, resell, distribute, or repurpose STUDIO: ARC work beyond the agreed usage without written permission.

3.3. STUDIO: ARC may include discreet credit links within website builds.

3.4. STUDIO: ARC may display completed projects, screenshots, and results for portfolio, marketing, and promotional purposes unless expressly agreed otherwise in writing.

3.5. If a project is cancelled before completion, any draft concepts, test materials, or unfinished work may not be used unless paid for in full.

4. PAYMENT TERMS

4.1. Prices are subject to change at any time unless covered by a signed agreement or paid deposit.

4.2. Quotations are issued specifically to the named client and are non-transferable.

4.3. A 50% non-refundable deposit secures the quoted price and the project slot.

4.4. The client is responsible for any third-party costs required to complete the project (e.g., hosting fees, plugins, subscriptions, licensing).

4.5. Final invoices must be paid within 7 days of issue unless otherwise stated.

4.6. Late payments will incur a 10% weekly late fee, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4.7. If the client cancels a project, the deposit is non-refundable, and an invoice for all completed work will become due immediately.

4.8. Ownership of all work remains with STUDIO: ARC until full payment has been made.

4.9. STUDIO: ARC may repurpose or reuse unpaid work after project cancellation or non-payment.

4.10. Ongoing project work may be paused or terminated if previous invoices remain unpaid.

4.11. Additional communication, admin tasks, or support outside the agreed scope will be billed at the applicable rate.

5. TIMINGS & BILLING

5.1. Time-based work (including block hours) that exceeds the pre-paid allowance will be billed in 15-minute increments, rounded up to the next quarter hour.

6. DOMAIN & WEBSITE HOSTING

6.1. STUDIO: ARC is not responsible for issues relating to third-party hosting, domain providers, or external platforms and assumes no liability for downtime or service failures.

6.2. Clients are responsible for all hosting-related billing and must contact their provider directly for technical issues unless otherwise agreed.

6.3. If STUDIO: ARC is asked to liaise with a hosting or domain provider, this must be agreed in writing and may incur additional fees.

7. WEBSITE FUNCTION, UPDATES & ACCESSIBILITY

7.1. STUDIO: ARC is not liable for website malfunctions caused by hosting providers, external integrations, third-party plugins, user error, or platform updates.

7.2. Assistance with resolving such issues is considered outside scope and will be billed separately.

8. CLIENT RESPONSIBILITIES & LEGAL LIABILITIES

8.1. The client is solely responsible for ensuring all materials they provide comply with UK copyright, intellectual property, advertising, and data-protection laws.

8.2. STUDIO: ARC accepts no liability for legal claims arising from client-provided content, branding, or business practices.

8.3. The client is fully responsible for reviewing and approving all content before publication.

8.4. Any legal consequences arising from the client’s materials, claims, or activities remain the client’s sole responsibility.

8.5. STUDIO: ARC is not liable for any financial losses, missed revenue, downtime, errors, or technical failures stemming from third-party services or client actions.

9. MORALITY, BEHAVIOUR & PROHIBITED CONTENT

9.1. STUDIO: ARC reserves the right to terminate a project if it involves offensive, discriminatory, harmful, defamatory, or illegal activity.

9.2. STUDIO: ARC may terminate services if a client engages in abusive, inappropriate, or unprofessional behaviour, whether publicly or privately.

9.3. If services are terminated for behavioural reasons, the client must remove STUDIO: ARC branding from their platforms within 3 days.

10. DISPUTE RESOLUTION

10.1. Both parties agree to first attempt to resolve disputes through clear communication and negotiation.

10.2. If a resolution cannot be reached, disputes will be referred to independent mediation prior to any legal action.

10.3. This agreement is governed by the laws of England and Wales. Any legal proceedings will take place in UK courts.

11. CHANGES TO TERMS & CONDITIONS

11.1. STUDIO: ARC may update these Terms & Conditions at any time. Changes will not apply retrospectively to existing signed agreements unless mutually agreed.
Clients are responsible for reviewing the Terms before entering a new contract or project.

2. GDPR COMPLIANCE STATEMENT

STUDIO: ARC complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

We ensure personal data is:

  • Processed lawfully, fairly, and transparently

  • Collected for explicit, legitimate purposes

  • Limited to what is necessary

  • Accurate and up to date

  • Retained only as long as required

  • Protected through appropriate security measures

You have the right to access, rectify, delete, restrict, object, or request portability of your data.
